ATP Stockholders’ Meeting Adopts Conversion of ATP to GmbH&Co KG
The stockholders’ meeting of VERBUND-Austrian Thermal Power AG (ATP) has approved the conversion of ATP from GmbH to GmbH & Co KG today.
By transferring its company (assets) as a whole, VERBUND-Austrian Thermal Power AG is converted, by way of universal succession and express waiver of its liquidation, into a limited commercial partnership – to be newly established –, with all rights and obligations, under the company of VERBUND-Austrian Thermal Power GmbH & Co KG, formerly AG, headquartered in Vienna (business address 1010 Wien, Parkring 12) as transferee company, effective date 06-30-2001.
The stockholders of VERBUND-Austrian Thermal Power AG have agreed to join VERBUND-Austrian Thermal Power GmbH & Co KG, formerly AG, and jointly adopted the articles of partnership of VERBUND-Austrian Thermal Power GmbH & Co KG, formerly AG.
Mr. Anton Smolak – up to now Engineering Director of ATP - and Dr. Oswin Kois – up to now Member of the Managing Board of Steweag, the energy supplier of the Styrian province – have been appointed Managing Directors of the company.
Now ATP disposes of 8 power plants and 7 combined heat and power stations with a bottleneck capacity of approximately 1900 MW and can thus provide up to 20% of the production of the VERBUND group. Supplying more than 800 GWh of district heat to Graz and its surrounding areas, ATP is one of Austria’s largest suppliers of district heat.
The so-called hydraulic-thermal production mix in Austria is dominated, by more than two thirds, by renewable hydropower; the thermal power plants of ATP supply an important proportion to cover the domestic power demand.
