Announcement Syndicate EVN and Wiener Stadtwerke

VERBUND AG informs the public pursuant to § 93 Austrian Stock Exchange Act in connection with § 93 para 1 Austrian Stock Exchange Act that EVN AG and Wiener Stadtwerke Holding AG entered into a syndicate agreement on 22 September 2010 concerning the syndication of the shares they hold directly and indirectly in VERBUND AG and thus hold more that 25% of the share capital of the company (i.e., 80,543,028 shares), which are mutually attributable pursuant to § 92 No. 1 Austrian Stock Exchange Act.

These shares are divided between EVN AG and Wiener Stadtwerke Holding AG as follows:

(a) EVN AG directly holds 40,111,198 shares or approximately 13.015% of all shares of VERBUND AG.
(b) Wiener Stadtwerke Holding AG directly and indirectly holds 40,431,830 shares or approximately 13.119% of all shares of VERBUND AG, as follows:

• directly 36.042.080 shares or 11.694% of all shares of VERBUND AG;
• indirectly 4,389,750 shares or approximately 1,424% of all shares of VERBUND AG, whereas
  3,614,750 shares or 1.173% of all shares of VERBUND AG are held directly by Wienstrom GmbH, an indirect 100% subsidiary of Wiener Stadtwerke Holding AG; and
• 775,000 shares or approximately 0.251% of all shares of VERBUND AG are held indirectly through investment funds as follows:
• 100,000 shares through the investment fund "WSTW II" (Investment company: Raiffeisen Kapitalanlage-Gesellschaft mit beschränkter Haftung, FN 83517 w);
• 135,000 shares through the investment fund "WSTW III" (Investment company: Pioneer Investments Austria GmbH, FN 115887 y);
• 250,000 shares through the investment fund "WSTW IV" (Investment company: ERSTE-SPARINVEST Kapitalanlagegesellschaft m.b.H., FN 81876 g);
• 290,000 shares through the investment fund "WSTW V" (Investment company: RINGTURM Kapitalanlagegesellschaft m.b.H., FN 72097 a).
